Terms of Use

These Terms of Use (the "Terms") are a binding legal agreement between you ("you", "your", the "user" or "customer") and Premium Logistics SHPK, a limited liability company (shoqëri me përgjegjësi të kufizuar) organised under the laws of the Republic of Albania, trading under the brand "Premium Auto Bid" ("Premium Auto Bid", "we", "us" or "our"). They govern your access to and use of the website published at premlogistics.com and any associated pages, content, accounts, features, tools and services we make available through it (together, the "website" or the "services").

These Terms take effect on the effective date stated below and replace any prior version from that date. They were last updated on the date stated below. We may revise them from time to time as described in the section "Changes to these Terms".

By accessing the website, creating an account, or using any service, you confirm that you have read, understood and agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy and, where applicable, the separate Member Terms that govern bidding. If you do not agree, you must not access or use the website or the services.

These Terms govern general use of the website. They are distinct from, and supplemented by, the Member Terms, which set out the specific conditions for placing bids, deposits and purchase coordination. Where a conflict arises in relation to bidding, the Member Terms prevail to the extent of the inconsistency for that subject matter.

In these Terms, unless the context requires otherwise, the following capitalised terms have the meanings set out below:

• "Premium Auto Bid", "we", "us", "our" means Premium Logistics SHPK, the operator of the website.
• "Auction source" means an independent third-party vehicle auction marketplace or seller from which vehicles may be sourced. For these services, the relevant auction source is Copart.
• "Copart" means Copart, Inc. and its affiliates. Copart is an independent third party. We are not owned by, operated by, endorsed by or affiliated with Copart.
• "Demo inventory" means sample, illustrative or placeholder vehicle listings displayed on the website for demonstration purposes only, which do not represent real auction lots and are not available for purchase or bidding.
• "Bidding" means the placement of a customer's bid on the relevant Copart auction in real time through the Copart API, after the required conditions are met, as further described in these Terms and the Member Terms. There is no manual operator or human agent who places bids on the customer's behalf.
• "Bid" means an offer a customer submits, through the platform, to be placed on a specified vehicle's Copart auction in real time via the Copart API.
• "KYC" means our identity-verification and customer due-diligence process (Know Your Customer).
• "Member Terms" means the separate terms and conditions that apply to bidding, deposits and purchase coordination.
• "Deposit" means a refundable or applicable amount, in USD, that a customer may be required to provide before bidding, separate from the final purchase payment.
• "Account" means the registered user account through which a customer accesses certain features of the website.
• "Content" means all text, graphics, logos, images, data, software, layout and other material made available through the website.

The website and services are intended for use by adults acting for legitimate purposes. By using the website you represent and warrant that each of the following is true:

• You are at least 18 years of age, or the age of majority in your jurisdiction if higher, and you have full legal capacity to enter into a binding contract.
• If you use the website on behalf of a company or other legal entity, you are duly authorised to bind that entity, and "you" refers to that entity.
• You are resident in, or otherwise lawfully connected to, one of the markets we serve (Albania, Kosovo, North Macedonia or Montenegro), or you are otherwise permitted to use the services under applicable law.
• You will use the website and services only for lawful purposes and in compliance with all applicable laws, including import, customs, tax, sanctions and anti-money-laundering laws.
• You are not a person with whom dealings are restricted or prohibited under applicable United Nations, European Union or United States (including OFAC) sanctions, and you are not acting on behalf of any such person.

We may refuse, restrict or withdraw access to the website or services where we reasonably believe that eligibility requirements are not met, or where required to comply with law or risk-management obligations.

Premium Auto Bid is an independent vehicle sourcing, bidding and import-support platform. We help customers in the markets we serve to discover vehicles offered through Copart auctions, place bids on Copart in real time through the Copart API once the required conditions are met, and coordinate purchase, transport, customs and import support. We act as an independent service provider and intermediary; we are not the seller of the vehicles and we are not an auction house.

What the services include

• Vehicle discovery: tools to browse and review vehicle information sourced in connection with Copart auctions.
• Bidding: once a customer has completed KYC, accepted the Member Terms and has an approved deposit, the bids the customer submits through the platform are placed on the relevant Copart auction in real time through the Copart API. No manual operator or human agent places bids on the customer's behalf.
• Import support: coordination of purchase, transport, customs clearance and related import logistics for vehicles successfully acquired through the platform.
• Account and communication features that support the above.

How bidding works

Premium Auto Bid places customer bids on Copart in real time through the Copart API. Once a customer has completed KYC, accepted the Member Terms and has an approved deposit, the bids the customer submits through the platform are transmitted to the relevant Copart auction in real time. Bidding is not proxy or assisted-by-a-person: there is no manual operator or human agent who places bids on auction-house accounts on the customer's behalf. Premium Auto Bid remains independent and is not an official Copart partner.

Demonstration samples. Certain sample vehicle listings shown on the website are clearly-labelled demonstration samples presented for illustration only. These specific sample cars are not real Copart lots and are not biddable. Do not rely on demonstration samples for any buying decision.

We may add, change, suspend or remove features of the services at any time. We do not guarantee that any particular vehicle, auction, price, outcome or timeline will be available, and nothing on the website is an offer by us to sell a vehicle.

Some features require you to register an account. When you register and while you maintain an account, you agree to the following.

• You will provide accurate, current and complete information and keep it up to date.
• You will keep your login credentials confidential and not share them, and you are responsible for all activity under your account.
• You will notify us promptly at support@premlogistics.com of any unauthorised use of your account or any other breach of security.
• You will not create an account using false identity information, impersonate any person, or maintain more than one account except with our written consent.
• You are responsible for ensuring that any device or connection you use to access the website is secure.

We may decline a registration, or suspend or close an account, in accordance with the section "Suspension and termination". Creating an account does not by itself entitle you to bid, which is subject to the additional conditions set out below.

Bidding is not available simply by registering an account or browsing the website. Bids are placed on Copart in real time through the Copart API only after each of the following conditions has been satisfied and confirmed by us.

1. Identity verification: you have completed our KYC identity-verification and customer due-diligence process to our satisfaction.
2. Member Terms: you have read and accepted the separate Member Terms governing bidding, deposits and purchase coordination.
3. Deposit approval: where a deposit is required, you have submitted payment proof and we have independently verified and approved the deposit.

Deposits and balances are denominated in United States dollars (USD). The standard deposit is USD 750; for vehicles with a value above USD 7,500, the deposit is 10% of the vehicle value. A deposit is separate from, and does not replace, the final purchase payment. Inbound payments are operator-confirmed: customers may pay by bank transfer (in USD or EUR) or in cash (in ALL) at our Tirana office, must upload proof of payment, and we verify each payment independently before it takes effect. No third-party card processors operate in Albania for this payment flow.

Once your KYC is complete, your deposit is approved and you have accepted the Member Terms, the bids you submit through the platform are placed on the relevant Copart auction in real time via the Copart API; no manual operator or human agent places bids on your behalf. We may decline or defer bidding access at our discretion, including for compliance, risk, eligibility or operational reasons. Submitting a bid does not guarantee that any bid will be successful or that a vehicle will be acquired; no outcome is guaranteed. The detailed mechanics, fees, refund rules and bid-cap conditions for bidding are governed by the Member Terms.

Premium Auto Bid (Premium Logistics SHPK) is an independent platform. It is not owned by, operated by, endorsed by, sponsored by, or affiliated with Copart, Inc. in any way. References to Copart are solely to identify the third-party auction source from which vehicles may be sourced. Copart names, logos and trademarks are the property of their respective owners.

Premium Auto Bid places customer bids on Copart in real time through the Copart API. Our independent use of the Copart API to transmit bids does not make us an official Copart partner and does not imply ownership, endorsement or affiliation. Any indication of vehicle availability, pricing or auction status shown through demonstration samples is illustrative only.

Certain vehicle listings displayed on the website are demonstration samples for illustration. These specific sample cars are not real Copart lots, are not biddable, and create no rights or expectations. We expressly disclaim any representation that such sample listings reflect actual vehicles, prices, conditions or auction outcomes. Vehicles are sourced from Copart on an as-is basis as described in the disclaimers below.

You agree to use the website and services responsibly and lawfully. Without limiting any other provision, you must not do, attempt to do, or facilitate any of the following:

• Use the website for any unlawful, fraudulent, deceptive or harmful purpose, or in breach of any applicable law or regulation.
• Use the services to launder money, finance terrorism, evade sanctions, evade customs or tax, or transact in proceeds of crime.
• Provide false, misleading or incomplete identity, payment or source-of-funds information, or attempt to circumvent our KYC, deposit or compliance controls.
• Engage in bribery, corruption or improper payments, including conduct contrary to the Albanian Criminal Code or to the principles of the US Foreign Corrupt Practices Act and the UK Bribery Act in international dealings.
• Access, scrape, harvest, index or copy the website, demo inventory or other content by automated means without our prior written consent, or place an unreasonable load on our infrastructure.
• Probe, scan, interfere with or attempt to gain unauthorised access to the website, accounts, networks or systems, or bypass any security or access control.
• Introduce malware, viruses or harmful code, or use the services to transmit unlawful, defamatory, infringing or offensive material.
• Misrepresent your affiliation with any person or entity, or suggest any false association with Premium Auto Bid or Copart.
• Resell, sublicense or commercially exploit the website or services, or use them on behalf of an undisclosed third party, except as expressly permitted by us in writing.

We may investigate suspected breaches and take any action we consider appropriate, including removing content, suspending access, reporting to competent authorities and pursuing remedies available at law.

The website and all content on it, other than third-party material and user-submitted material, are owned by or licensed to Premium Logistics SHPK and are protected by intellectual property and other laws. This includes the design, layout, text, graphics, databases, software and the "Premium Auto Bid" name and brand.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the website for your own lawful, non-commercial evaluation of, and engagement with, the services. We reserve all rights not expressly granted.

• You must not copy, reproduce, modify, distribute, publish, frame, mirror or create derivative works from the website or content except as expressly permitted or as allowed by mandatory law.
• You must not remove, obscure or alter any proprietary notices, and you must not use our name, logo or brand without our prior written consent.
• Trademarks, logos and brand features of third parties, including Copart, remain the property of their respective owners and are used only for identification; their appearance does not imply any endorsement or partnership.

If you submit any material to us (for example documents for KYC or messages), you grant us a licence to use that material to the extent necessary to provide the services and to comply with our legal obligations, while you retain ownership of your material. You are responsible for ensuring you have the rights to submit it.

The website may reference, link to, or rely on information from independent third parties, including the Copart auction source and, in connection with import support, carriers, customs agents, banks and public authorities. We do not control these third parties and are not responsible for their content, products, services, terms, availability, accuracy or conduct.

• Any vehicle data ultimately derived from an auction source is provided by that source and may be incomplete, inaccurate or subject to change; we do not independently warrant it.
• Your dealings with any third party, and any terms or conditions imposed by that third party (including any Copart member terms or auction rules), are between you and that third party.
• Links or references to third-party resources are provided for convenience and do not constitute endorsement or assumption of responsibility by us.

You are responsible for reviewing and complying with any applicable third-party terms, and for assessing the suitability and risks of any third-party product or service before relying on it.

Vehicles are sold AS-IS by third-party auction sources. Premium Auto Bid does not own the vehicles and does not guarantee their condition, title, mileage, damage status, history, availability, the outcome of any auction, or any shipping or customs timeline. Inspect and verify independently before committing.

To the fullest extent permitted by applicable law, the website and services are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, non-infringement or uninterrupted or error-free operation.

• We do not guarantee that the website will be available, secure, error-free or free of interruptions, or that defects will be corrected.
• We do not guarantee the accuracy, completeness, currency or reliability of any vehicle information, demo inventory, estimate, valuation, price, auction status or timeline.
• We do not guarantee any particular outcome, including that bidding access will be granted, that any bid will be won, that a vehicle will be acquired, or that transport, customs clearance or registration will be completed within any timeframe.
• We do not provide legal, tax, customs or investment advice, and any general information we provide is not a substitute for professional advice.
• We hold no certification or status we have not expressly stated; nothing in the services should be read as a claim of certification, accreditation, dealer licensing, or official partnership with any auction source.

Some jurisdictions do not allow the exclusion of certain warranties; in that case, such exclusions apply only to the extent permitted by applicable law, and nothing in these Terms limits rights that cannot be limited by law.

To the fullest extent permitted by applicable law, Premium Logistics SHPK, its administrator, beneficial owner, employees, agents and contractors will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, business, goodwill, data, anticipated savings, or opportunity, arising out of or in connection with the website, the services, demo inventory, any vehicle, or these Terms, whether based in contract, tort (including negligence), statute or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the website and the general use of the services under these Terms is limited to the total amount of service fees (if any) actually paid by you to us for the use of the website in the three (3) months immediately preceding the event giving rise to the claim. Liability relating to bidding, deposits and purchase coordination is governed and limited by the Member Terms.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable Albanian law does not permit to be excluded. Where liability cannot be excluded but can be limited, it is limited to the maximum extent permitted by law.

You acknowledge that vehicles are sourced from third parties on an as-is basis and that the allocation of risk in these Terms is a reasonable and essential basis on which the services are made available to you.

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Premium Logistics SHPK and its administrator, beneficial owner, employees, agents and contractors from and against any claims, demands, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• your breach of these Terms or of any applicable law or third-party right;
• your use or misuse of the website or the services;
• any information you submit being false, inaccurate, misleading or in breach of a third party's rights; and
• any breach by you of import, customs, tax, sanctions or anti-money-laundering obligations.

We may, at our option, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. This indemnity is in addition to, and not in place of, any other remedies available to us.

We operate the services subject to applicable compliance obligations and expect users to do the same. By using the services you agree to cooperate with our lawful compliance measures, including identity verification, customer due diligence and source-of-funds checks where required.

• Anti-money-laundering: we apply controls consistent with Albanian Law no. 9917 dated 19.05.2008 'On the Prevention of Money Laundering and Financing of Terrorism' (as amended) and relevant FATF recommendations, and we may report suspicious activity to the General Directorate for the Prevention of Money Laundering (the Albanian Financial Intelligence Unit) as required by law.
• Sanctions: we screen against and comply with applicable United Nations, European Union and United States (OFAC) sanctions frameworks, and we may refuse or terminate dealings to comply with them.
• Anti-corruption: we prohibit bribery and corruption consistent with the Albanian Criminal Code and, for international dealings, the principles of the US Foreign Corrupt Practices Act and the UK Bribery Act.
• Data protection: we process personal data in accordance with Albanian Law no. 9887 dated 10.03.2008 'On the Protection of Personal Data' (as amended) and, where applicable, the EU General Data Protection Regulation (GDPR). The relevant supervisory authority is the Information and Data Protection Commissioner of Albania (IDP).

How we collect, use and protect personal data is described in our Privacy Policy. For data-protection enquiries, including requests relating to your rights, contact privacy@premlogistics.com.

You may stop using the website at any time and may ask us to close your account by contacting support@premlogistics.com. Closure of an account does not affect obligations that arose before closure, including any obligations under the Member Terms.

We may suspend, restrict or terminate your access to the website or any service, or close your account, with or without prior notice, where we reasonably consider it necessary or appropriate, including in the following circumstances:

• you breach these Terms, the Member Terms or any applicable law;
• we suspect fraud, abuse, security risk, or a compliance, sanctions or anti-money-laundering concern;
• you fail KYC or do not provide information we reasonably require;
• it is necessary to comply with a legal or regulatory obligation or a request from a competent authority; or
• we discontinue the website or a service, in whole or in part.

On termination, the licence granted to you ends and you must stop using the website. Provisions that by their nature should survive termination will survive, including those on intellectual property, disclaimers, limitation of liability, indemnification, compliance, governing law and jurisdiction.

We may update or amend these Terms from time to time to reflect changes in our services, our business, or legal, regulatory or operational requirements. The version in force is the one published on the website, identified by its effective and last-updated dates.

Where changes are material, we will take reasonable steps to bring them to your attention, for example by posting a notice on the website or, where appropriate, by contacting you. Your continued use of the website after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the website.

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the Republic of Albania, without regard to conflict-of-laws principles.

Subject to any mandatory consumer-protection rights you may have under applicable law, you and we agree that the competent courts of Tirana, Republic of Albania, have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, the website or the services. Before commencing proceedings, the parties will use reasonable efforts to resolve any dispute amicably.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of it.
